1. Agreement

These Terms of Service (the "Terms") are a binding agreement between you and NIXX TECH GROUP INC., a Florida corporation with its address at 7901 4th St N, Suite # 36221, St. Petersburg, FL 33702, USA ("NixxTech," "we," "us," or "our"). They govern your use of The Quiet Oracle website, web application and mobile applications, and any related features, content and communications (together, the "Service").

By creating an account, starting a trial, making a purchase, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

Our Privacy Policy and Consumer Health Data Privacy Policy explain how we handle personal information. They are not contracts, and they do not form part of these Terms.

2. Eligibility

2.1 Age. You must be at least 18 years old to use the Service. The Service is not directed to anyone under 18, and we do not knowingly allow anyone under 18 to create an account.

2.2 Capacity and compliance. You represent that you can form a binding contract, that you are not barred from using the Service under any applicable law, and that you are not located in, or a resident of, a country or territory subject to comprehensive United States sanctions, and are not on any United States government list of restricted parties.

2.3 Where paid plans are offered. Paid plans are not currently offered to customers in the European Union, the European Economic Area, Switzerland or the United Kingdom, and we may decline or refund a purchase from those places.

3. Your Account

3.1 Registration. You need an account to use most of the Service. You agree to give accurate information, to keep it current, and to use an email address you control.

3.2 Security. You are responsible for keeping your sign-in credentials confidential and for everything that happens under your account. Tell us promptly at support@the-quiet-oracle.com if you believe your account has been used without your permission.

3.3 One person, one account. Your account is personal to you. You may not share it, sell it, transfer it, or let anyone else use it. You may not create more than one account to obtain additional free trials, free readings, or promotional benefits.

3.4 Deleting your account. You may delete your account at any time in your account settings. Deleting your account does not by itself entitle you to a refund. If you have an active subscription billed by an app store, you must also cancel it with that store.

4. The Service and What It Is For

4.1 What the Service is. The Quiet Oracle offers tarot and astrology readings, birth chart calculations, relationship readings, a daily card, a journal, and related features, for entertainment, personal reflection and self-inquiry.

4.2 Not professional advice. The Service does not provide medical, psychological, psychiatric, legal, financial, tax, investment or other professional advice, diagnosis or treatment. A reading is not a substitute for a qualified professional who knows your circumstances. Never disregard professional advice, or delay seeking it, because of something in a reading.

4.3 No predictions and no reliance. Readings are interpretive. They are not statements of fact about you or anyone else, and they are not predictions of future events. We do not promise that any reading is accurate, complete, or suited to your situation. Any decision you make about your health, relationships, money, work, or legal position is yours alone, and you agree not to rely on the Service in making it.

4.4 Not a crisis service. The Service is not monitored by people in real time and cannot respond to an emergency. If you are in danger or thinking about harming yourself or someone else, contact local emergency services right away. In the United States you can call or text 988 to reach the Suicide & Crisis Lifeline. More resources are listed on our Support and crisis resources page.

4.5 Readings about other people. A reading that involves another person, including a relationship or compatibility reading, describes symbolic patterns only. It is not a factual statement about that person's character, intentions, health, or conduct, and you agree not to present it to anyone as one.

4.6 Calculations. Astronomical positions are calculated from the birth details you enter. We do not verify those details, and a chart is only as accurate as what you provide.

5. AI-Generated Content

5.1 Readings are generated by artificial intelligence. Readings, clarifications, reports, card recognition from photographs, and read-aloud audio are produced by automated systems that use artificial intelligence, working from our own written canon and method. They are not written, reviewed, or spoken by a human reader. When you use the Service you are interacting with an automated system and not with a person.

5.2 Limits of AI output. AI-generated content is probabilistic. It may be inaccurate, incomplete, inconsistent from one reading to the next, or not suited to your circumstances, and it may occasionally be offensive or simply wrong. Card recognition from a photograph can misidentify a card or its orientation. Check the cards before you rely on a reading built from a photograph.

5.3 Similar output. Other people may receive readings that are similar or identical to yours.

5.4 Technology and providers. We use our own systems together with technology and services supplied by third parties, including third-party artificial intelligence services, to operate the Service. We may add, change or replace any of them at any time without notice. Our Privacy Policy explains what information is processed and by which categories of provider.

5.5 Reporting a problem. If a reading contains content you believe is harmful or offensive, please report it by writing to support@the-quiet-oracle.com.

6. Plans, Trials and Access

6.1 Plans. The Service is offered on a free plan and on paid plans. What each plan includes, and its limits, are described in the Service at the time you sign up or purchase. Limits may include the number of readings, photo scans, saved journal entries and similar allowances.

6.2 Free trial. We may offer a free trial of a paid plan, currently 7 days. A trial is available once per person, and the trial given under Section 6.6 counts as that trial. We may refuse or end a trial if we reasonably believe it is being abused.

6.3 When a trial ends. A trial does not require a payment method. When it ends, your access returns to the free plan and you are not charged.

6.4 Changes to plans. We may change what a plan includes. If a change materially reduces what you have already paid for during a current billing period, we will tell you in advance, and you may cancel.

6.5 Public beta. While the Service is in its public beta, every account has the features of our top paid plan, Oracle, at no charge. During the beta nothing can be bought, and Sections 7 and 8 do not apply until paid plans begin. We decide when the beta ends, and we will tell you by email or in the Service before it does. Features offered during the beta may change or be withdrawn (see Section 16).

6.6 When the beta ends. Every account that existed during the beta automatically receives the standard free trial of the Seeker plan described in Section 6.2, starting when the beta ends. No payment method is taken. When the trial ends, your account moves to the free plan, Wanderer, as described in Section 6.3. You are never charged unless you choose a paid plan and complete checkout.

7. Subscriptions, Billing and Automatic Renewal (Web Purchases)

This Section applies when you buy a subscription from us directly on the web. Purchases through an app store are covered by Section 9.

7.1 Payment. Payments are handled by our third-party payment processor. You authorize us and the processor to charge your payment method for the plan you choose, any applicable taxes, and each renewal. You must keep a valid payment method on file.

7.2 AUTOMATIC RENEWAL. Your subscription renews automatically at the end of each billing period, monthly or annual as you selected, for another period of the same length, at the price shown when you subscribed or the price we have since notified to you, until you cancel. You authorize us to charge your payment method at each renewal without asking again.

7.3 How to cancel. You can cancel at any time online in your account settings. You do not need to call or write to us. Cancellation stops the next renewal. You keep paid access until the end of the period you have already paid for, and you are not charged again.

7.4 Renewal reminders. Where the law requires it, we will send reminders about your subscription to your account email, such as a reminder before an annual subscription renews.

7.5 Price changes. We may change the price of a subscription, except a Fixed Stars membership under Section 7.10. We will tell you by email before a new price applies to you. The new price applies from your next renewal after that notice. If you do not agree, cancel before the renewal.

7.6 Failed payments. If a payment fails, we may retry it, and we may suspend or downgrade paid access until it succeeds.

7.7 Taxes. Prices do not include sales, use, value-added or similar taxes unless we say so. Where we are required to collect a tax, it is added at checkout.

7.8 Refunds. If a new subscription is not for you, you can ask for a full refund within 14 days of its first payment by writing to support@the-quiet-oracle.com. This applies to each new subscription and not to renewals. After those 14 days, payments are not refundable, including for unused time in a billing period, except where the law requires a refund.

7.9 Promotions. Promotional prices and offers apply only for the period and on the conditions stated when offered, and Section 7.10 sets out the conditions for Fixed Stars.

7.10 Fixed Stars. Fixed Stars is the Oracle plan billed annually at US$99.99 a year.

(a) When it can be bought. It can be bought on the web only. It is open for 30 days from the day paid plans begin, or until 500 Fixed Stars memberships have been bought, whichever comes first. After that it cannot be bought.

(b) The locked price. Your membership renews each year at US$99.99 for as long as it renews without a break. We will not raise that price for an unbroken membership, and Section 7.5 does not apply to it. Taxes are separate (Section 7.7), so the total you pay can change if a tax rate changes.

(c) When the lock ends. The locked price ends permanently if you cancel, if you let the membership lapse, if a renewal payment fails and is not paid before the retry period in Section 7.6 ends, if you switch to another plan or billing period, or if you get a refund under Section 7.8. Any later subscription is at the standard price in effect at that time. A lapsed or cancelled Fixed Stars membership cannot be restored.

(d) What the lock covers. The lock covers price only. Section 6.4 (changes to plans) still applies, and the lock does not oblige us to keep providing the Service (Section 19.2). Section 7.8 applies to your first payment as it does to any new subscription.

(e) Later changes to these Terms. A change to these Terms under Section 22 will not remove the locked price from a membership that was active when the change took effect.

8. One-Time Purchases, Credits and Gifts

8.1 One-time purchases. Some readings, reports and credits are sold individually. The price and what you receive are shown before you pay.

8.2 Credits. Credits are a limited license to obtain specific digital content within the Service. They have no cash value, are not property, cannot be transferred or exchanged for money except as Section 8.4 allows, and are not refundable once used. Credits do not expire while your account remains open. Unused credits are forfeited when an account is deleted or is closed for breach of these Terms.

8.3 Gifts. If you buy a reading or credit as a gift, you are the purchaser and these Terms apply to you. The recipient must accept these Terms to create an account. By buying a gift about another person you confirm you have that person's permission to enter their details (see Section 11).

8.4 Delivery and refunds. Digital content is delivered immediately.

(a) Unused credits and unclaimed gifts. You can ask for a full refund of credits you have not used, or a gift that has not been claimed, within 7 days of purchase by writing to support@the-quiet-oracle.com. A gift is claimed when its recipient redeems it. Once a gift is refunded, it can no longer be claimed.

(b) Once used or claimed. Once a credit has been used, a gift has been claimed, or other content has been generated, the purchase is final.

(c) Limit. We give one refund under (a) per customer in any 12 months, across credits and gifts together. Further requests are at our discretion.

(d) Your legal rights. Nothing in this Section limits a refund the law requires, or a refund for content that was not delivered because of a fault on our side.

9. Purchases Through an App Store

9.1 Billing by the store. If you buy a subscription or other item through the Apple App Store or Google Play, the store is the merchant. Its payment terms apply, the purchase is charged to your store account, and the store's rules govern billing, renewal, cancellation and refunds.

9.2 Renewal and cancellation. A subscription bought through a store renews automatically unless you cancel in your store account settings at least 24 hours before the end of the current period. We cannot cancel a store subscription for you, and deleting your account or the app does not cancel it.

9.3 Refunds. Refunds for store purchases are handled by the store under its own policy. Section 7.8 does not apply to store purchases.

9.4 Prices and access across platforms. Prices may differ between the web and each store. A plan bought on one platform can be used on the others when you sign in to the same account.

9.5 Apple terms. If you downloaded the app from the Apple App Store, the additional terms in Section 24 apply.

10. Acceptable Use

You agree that you will not, and will not help or allow anyone else to:

(a) use the Service for any unlawful, harmful, fraudulent, or deceptive purpose;

(b) use the Service to harass, stalk, threaten, defame, or intimidate any person, or to monitor a person or make decisions about a person's employment, housing, credit, insurance, or other significant matters;

(c) enter another person's information without the permission required by Section 11;

(d) present a reading as a statement of fact, a professional opinion, or a prediction about any person;

(e) submit content that is unlawful, that sexualizes minors, that infringes anyone's rights, or that you have no right to submit;

(f) access the Service by any automated means, including scrapers, crawlers, bots or scripts, or collect or harvest content or data from the Service, except through an interface we expressly provide for that purpose;

(g) copy, reproduce, mirror, frame, republish, sell, rent, or sublicense the Service or any part of it;

(h) reverse engineer, decompile, or disassemble the Service, or attempt to discover its source code, models, prompts, instructions, canon, scoring methods, or other underlying components;

(i) attempt to extract, reveal, or reconstruct our prompts, system instructions, canon, or method, including by crafting inputs intended to make the Service disclose them, or by collecting outputs in bulk for that purpose;

(j) use the Service, or any content or output from it, to train, fine-tune, evaluate, benchmark, or improve any machine learning or artificial intelligence model, or to build or assemble a dataset;

(k) use the Service, or any content or output from it, to develop, offer, or improve a product or service that competes with the Service;

(l) probe, scan, or test the vulnerability of the Service, bypass or interfere with security, rate limits, usage limits, plan limits, or access controls, or interfere with the operation of the Service;

(m) resell readings, operate the Service on behalf of others, or use the Service to provide readings to third parties as a business, without our written permission;

(n) create accounts by automated means or under false pretenses, or create multiple accounts to evade limits or obtain repeat trials; or

(o) misrepresent who you are or your affiliation with any person.

We may investigate suspected violations and may suspend or remove content or accounts as described in Section 19.

11. Information About Other People

11.1 What you may enter. Some features let you enter details about another person, such as a name or nickname and their date, time and place of birth, so that the Service can calculate that person's chart and generate a reading involving them.

11.2 Your promise. Each time you enter another person's details, you represent and warrant that (a) the person is at least 18 years old, (b) you have that person's permission to give us their details and to have them processed to produce charts and readings, including by our service providers, and (c) entering and using their details does not break any law or any duty you owe them.

11.3 Their rights. A person whose details were entered by someone else may ask us to delete them by writing to privacy@the-quiet-oracle.com, and we will do so. We may remove another person's details from your account at that person's request without liability to you.

11.4 Your responsibility. You are responsible for any claim that arises from your entering or using another person's details without the permission described above.

12. Your Content

12.1 What it is. "Your Content" means what you submit to the Service: your questions, the cards you enter, photographs you upload, birth details, journal entries, notes, and similar material.

12.2 Ownership. As between you and us, you keep whatever rights you have in Your Content.

12.3 License to us. You grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, adapt, transmit, and display Your Content, and to permit our service providers to do the same on our behalf, only as needed to operate, secure, and provide the Service to you, to comply with law, and to enforce these Terms. This license ends when Your Content is deleted from our systems, apart from copies we are required or permitted by law to keep.

12.4 No training on Your Content. We do not use your questions, readings, or journal entries to train artificial intelligence models, and we do not permit our AI service providers to do so.

12.5 Sharing you choose. If you share a reading or your chart, whether with a person in your Orbit or by creating a link, you direct us to make that content available to whoever you shared it with or whoever has the link. You are responsible for what you choose to share and for where you post a link.

For a link to your chart: (a) you may share only your own chart; (b) by creating the link you direct us to show its page to anyone who has the link, and to let people who open it connect with you; (c) by connecting with someone you direct us to show that person your first name and your Sun, Moon and Rising signs, and to use both charts to write the readings either of you asks for; and (d) a connection is each person's own choice, so Section 11 does not apply to it, but Sections 4.5 and 10 do.

12.6 Your responsibility. You are responsible for Your Content and you represent that you have the right to submit it.

13. Your Readings

13.1 What you may do. Subject to these Terms, you may keep, download, print, and share the readings generated for your account for your own personal, non-commercial use.

13.2 Rights in readings. To the extent we hold any rights in the specific text of a reading generated for you, we assign those rights to you, excluding the Protected Materials described in Section 14. Readings draw on and may reproduce parts of our canon. Nothing in this Section gives you any right in the canon or in any other Protected Materials, whether or not they appear in a reading.

13.3 What you may not do. You may not use readings, individually or in bulk, for any purpose prohibited by Section 10, including to reconstruct our canon or method, to train or evaluate a model, or to build a competing product or service.

13.4 No exclusivity. We may generate the same or similar text for others, and you have no claim against us or them if we do.

14. Our Intellectual Property and Confidential Method

14.1 Ownership. The Service and everything in it other than Your Content is owned by NixxTech or its licensors and is protected by copyright, trademark, trade secret, and other laws. This includes:

(a) the Canon: our written body of card meanings, astrological placements, aspects, correspondences, timing rules, and interpretive text;

(b) the Method: our spreads and position designs, reader voices, the way readings are structured and assembled, our compatibility and scoring methods, and our timing calculations;

(c) the System: our software, prompts, system instructions, model configurations, data structures, and the selection and arrangement of all of the above; and

(d) our names, logos, designs, artwork, text, and the look and feel of the Service.

Together, (a) through (c) are the "Protected Materials."

14.2 Trade secrets. The non-public parts of the Protected Materials are our confidential information and trade secrets. We take reasonable measures to keep them secret. You may come across parts of them through outputs or through the operation of the Service. You agree not to attempt to obtain them by any means other than the ordinary, intended use of the Service, not to disclose them, and not to use them for any purpose other than receiving the Service for your own personal use. This obligation continues after your account ends.

14.3 Limited license to you. While you comply with these Terms, we grant you a limited, personal, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your own personal, non-commercial purposes. No other right or license is granted, whether by implication, estoppel, or otherwise. All rights not expressly granted are reserved.

14.4 Trademarks. "The Quiet Oracle" and our logos are our trademarks. You may not use them without our written permission.

14.5 Remedies. You agree that a breach of Section 10(f) through (k) or of this Section 14 would cause us harm that money alone could not repair, and that we may seek an injunction or other equitable relief in court to stop it, in addition to any other remedy, without having to post a bond where the law allows.

14.6 Open-licensed material. The Service includes some third-party material made available under open licenses, such as geographical data from GeoNames under the Creative Commons Attribution 4.0 International License. That material remains available to you under its own license, and nothing in these Terms restricts a right that license gives you. See Credits.

15. Feedback

If you send us ideas, suggestions, or other feedback about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free, fully paid, sublicensable license to use it for any purpose without restriction, obligation, or compensation to you. Feedback is not confidential.

16. Third-Party Services and Disclaimers

16.1 Third-party services. The Service relies on and may link to services operated by others, such as a payment processor, sign-in providers, app stores, and notification services. Those services are governed by their own terms and privacy policies, and we are not responsible for them.

16.2 Changes and availability. We may change, suspend, or discontinue any part of the Service at any time. We do not promise that the Service, or any particular feature, reading type, or reader voice, will always be available. Features marked beta, preview, or early are offered as they are and may be withdrawn.

16.3 DISCLAIMER OF WARRANTIES. TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE AND ALL CONTENT AND OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT ANY READING, CHART, CALCULATION, OR OTHER OUTPUT WILL BE ACCURATE, COMPLETE, RELIABLE, OR SUITED TO YOUR CIRCUMSTANCES, OR THAT ANY OUTCOME DESCRIBED IN A READING WILL OCCUR. YOU USE THE SERVICE AND ACT ON ANY OUTPUT AT YOUR OWN RISK.

16.4 Some jurisdictions do not allow certain warranties to be excluded. In those places the exclusions above apply only to the extent the law allows.

17. Limitation of Liability

17.1 EXCLUDED DAMAGES. TO THE FULLEST EXTENT PERMITTED BY LAW, NIXXTECH AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, AND SERVICE PROVIDERS (THE "NIXXTECH PARTIES") WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OPPORTUNITY, OR FOR EMOTIONAL DISTRESS, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, INCLUDING ANY DECISION YOU MAKE OR ACTION YOU TAKE OR DO NOT TAKE BECAUSE OF A READING, WHATEVER THE LEGAL THEORY AND EVEN IF WE HAVE BEEN TOLD THE DAMAGE WAS POSSIBLE.

17.2 CAP. TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF THE NIXXTECH PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM AND (B) ONE HUNDRED U.S. DOLLARS (US $100).

17.3 Basis of the bargain. These limits reflect a fair allocation of risk and are an essential part of the agreement between us. They apply even if a limited remedy fails of its essential purpose.

17.4 What is not limited. Nothing in these Terms excludes or limits liability that cannot be excluded or limited by law, such as liability for fraud, for gross negligence or willful misconduct where the law so provides, or for death or personal injury caused by negligence. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the limits above may not apply to you.

18. Indemnity

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless the NixxTech Parties from and against any third-party claim, and any related loss, liability, damages, cost, or expense, including reasonable attorneys' fees, arising out of (a) Your Content, (b) information about another person that you entered, (c) your breach of these Terms, or (d) your violation of any law or of anyone's rights. We may take over the exclusive defense of any such claim at our own expense, and you agree to cooperate. This Section does not apply to the extent a claim results from our own negligence or misconduct, or where the law of your place of residence does not allow a consumer to give such an indemnity.

19. Suspension and Termination

19.1 By you. You may stop using the Service at any time and may delete your account in your account settings.

19.2 By us. We may suspend or terminate your access, or remove content, at any time if we reasonably believe that you have breached these Terms, that your use creates risk or legal exposure for us or for others, that payment has failed, or that we are required to by law. Where practical we will tell you why. We may also end the Service altogether on reasonable notice.

19.3 Effect. When your account ends, your license to use the Service ends. If we terminate your account for breach, you are not entitled to a refund. If we terminate it without cause, or end the Service, we will refund the unused part of any prepaid subscription period.

19.4 Survival. Sections 4, 5, 10 through 15, 16.3, 17, 18, 19.3, 19.4, and 20 through 23 survive the end of these Terms.

20. Dispute Resolution

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY TRIAL.

20.1 Talk to us first. Before either of us starts an arbitration or a court case, the party with the complaint must send the other a written notice describing the dispute, the facts, and the relief sought. Send yours to privacy@the-quiet-oracle.com with your name and account email. We will send ours to your account email. Both of us will then try in good faith to resolve the dispute for 60 days. Any limitation period is paused during those 60 days. Neither of us may start an arbitration or court case until they have passed.

20.2 Agreement to arbitrate. If we cannot resolve it, you and NixxTech agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service, including questions about whether a claim must be arbitrated (a "Dispute"), will be resolved only by final and binding individual arbitration, and not in court, except as stated in Section 20.3. The Federal Arbitration Act governs this Section.

20.3 Exceptions. Either of us may (a) bring an individual claim in small claims court, as long as it stays there and stays individual, and (b) go to court to seek an injunction or other equitable relief to stop infringement or misuse of intellectual property or trade secrets, or a breach of Section 10(f) through (k) or Section 14.

20.4 Rules. The arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules in effect when the arbitration is started, as modified by this Section. The rules are available at www.adr.org. If the AAA is unavailable, the parties will agree on another administrator or a court will appoint one.

20.5 How it works. One neutral arbitrator will decide the Dispute. The arbitration may be conducted by written submissions, by telephone, or by video. If an in-person hearing is needed, it will be held in the county where you live or another place we both agree to. The arbitrator may award the same individual relief a court could. Judgment on the award may be entered in any court with jurisdiction.

20.6 Fees. Payment of filing, administration, and arbitrator fees is governed by the AAA rules. If your claim is for US $10,000 or less and you complied with Section 20.1, we will reimburse your filing fee unless the arbitrator finds your claim was frivolous or brought for an improper purpose.

20.7 CLASS ACTION WAIVER. YOU AND NIXXTECH AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not combine more than one person's claims and may not preside over any class or representative proceeding. The arbitrator may award relief only in favor of the individual party seeking it and only as far as needed to resolve that party's claim. If a court decides that this Section 20.7 cannot be enforced as to a particular claim or request for relief, that claim or request will be severed and decided in court, after the arbitration of everything else has finished.

20.8 JURY TRIAL WAIVER. YOU AND NIXXTECH EACH GIVE UP THE RIGHT TO A JURY TRIAL.

20.9 Mass filings. If 25 or more similar demands are brought against NixxTech by the same or coordinated counsel, the AAA's Mass Arbitration Supplementary Rules apply. The demands will be heard in batches of up to 50, each batch as a single consolidated arbitration with one set of fees and one arbitrator, and the limitation period for demands waiting their turn is paused.

20.10 Your right to opt out. You may opt out of this Section 20 by emailing privacy@the-quiet-oracle.com within 30 days after you first accept these Terms, with your name, your account email, and a clear statement that you opt out of arbitration. If you opt out, Section 21.2 applies to all Disputes. Opting out does not affect any other part of these Terms.

20.11 Changes to this Section. If we change this Section 20, other than a change of address, you may reject the change by writing to us within 30 days of the notice. The version you previously accepted will then continue to apply.

20.12 Severability. Apart from Section 20.7, if any part of this Section 20 is found unenforceable, the rest remains in effect.

21. Governing Law and Venue

21.1 Governing law. These Terms and any Dispute are governed by the laws of the State of Florida and applicable United States federal law, without regard to conflict of law rules.

21.2 Venue. For any Dispute that is not subject to arbitration, including a claim under Section 20.3(b), or where you have opted out, you and NixxTech agree to the exclusive jurisdiction of the state and federal courts located in Pinellas County, Florida, or the United States District Court for the Middle District of Florida, and each of us consents to personal jurisdiction there. Either of us may bring an individual claim in a small claims court where you live.

21.3 Consumer rights. Nothing in these Terms takes away rights you have as a consumer under the law of the place where you live that cannot be waived or changed by agreement. Those rights apply in addition to these Terms.

22. Changes to These Terms

We may change these Terms. If a change is material, we will tell you at least 30 days before it takes effect, by email to your account address or by a notice in the Service, and we may ask you to accept the new Terms. Changes do not apply to a Dispute that arose before the change took effect. If you do not agree to the new Terms, you must stop using the Service and may cancel. Using the Service after the effective date means you accept the changes.

23. General

23.1 Entire agreement. These Terms, together with any plan or purchase details shown to you at checkout, are the whole agreement between you and us about the Service and replace any earlier agreement on the same subject.

23.2 Severability. If any part of these Terms is found unenforceable, it will be enforced to the fullest extent allowed and the rest remains in effect, subject to Section 20.7.

23.3 No waiver. If we do not enforce a provision, that is not a waiver of our right to do so later.

23.4 Assignment. You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms to an affiliate or to a successor in a merger, acquisition, reorganization, or sale of assets.

23.5 Electronic communications. You agree that we may send you notices, agreements, and disclosures electronically, to your account email or within the Service, and that these meet any legal requirement that they be in writing.

23.6 Notices to us. Legal notices must be sent to NIXX TECH GROUP INC., 7901 4th St N, Suite # 36221, St. Petersburg, FL 33702, USA, with a copy to privacy@the-quiet-oracle.com.

23.7 Events outside our control. We are not liable for any delay or failure caused by events beyond our reasonable control, including failures of third-party services, networks, or infrastructure.

23.8 Export and sanctions. You may not use or export the Service in violation of United States export control or sanctions laws.

23.9 U.S. government users. The Service is commercial computer software and commercial computer software documentation, provided with only the rights given to all other users under these Terms.

23.10 Copyright complaints. If you believe content on the Service infringes your copyright, send a notice to privacy@the-quiet-oracle.com with the information required by 17 U.S.C. s. 512(c)(3). We may remove content and may terminate the accounts of repeat infringers.

23.11 California users. Under California Civil Code s. 1789.3, California users may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210.

23.12 No third-party beneficiaries. Except as stated in Sections 17, 18, and 24, these Terms give rights only to you and to us.

23.13 Language. These Terms are written in English. If we provide a translation, the English version controls to the extent the law allows.

24. Additional Terms for Apple App Store Users

If you downloaded the app from the Apple App Store, the following also applies:

(c) Apple has no obligation to provide maintenance or support for the app.

(d) If the app fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price, if any, for the app. To the fullest extent permitted by law, Apple has no other warranty obligation for the app.

(e) NixxTech, not Apple, is responsible for addressing any claim relating to the app or your possession or use of it, including product liability claims, claims that the app fails to conform to a legal or regulatory requirement, and claims under consumer protection, privacy, or similar law.

(f) If a third party claims that the app or your use of it infringes its intellectual property rights, NixxTech, not Apple, is responsible for the investigation, defense, settlement, and discharge of that claim.

(h) You must comply with applicable third-party terms when using the app, such as your wireless data service agreement.
